1. Introduction and Acceptance of Terms

These Terms and Conditions ("Terms") govern your access to and use of the services, software, and platforms provided by Goamazing ("Company", "we", "us", or "our"), including but not limited to our Learning Management System (LMS), Documentation Portal, and Help Center (collectively, the "Services").

By accessing or using our Services, you ("Client", "User", or "Institution") agree to be legally bound by these Terms. If you do not agree to these Terms, you must not access or use the Services.

These Terms apply to all clients, institutions, administrators, instructors, and learners who access or use our Services. We reserve the right to update these Terms at any time. Continued use of the Services after any such changes constitutes your acceptance of the updated Terms.

2. Definitions

For the purposes of these Terms, the following definitions apply:

  • "Services" means all software platforms, tools, features, APIs, and support provided by Goamazing, including the Learning Management System, Documentation Portal, and Help Center.
  • "Client" means the institution, organisation, or entity that enters into an agreement with Goamazing to access the Services under a subscription or contractual arrangement.
  • "User" means any individual (including administrators, instructors, and learners) authorised by the Client to access the Services.
  • "Content" means all data, text, files, information, images, videos, and other materials uploaded, submitted, or transmitted through the Services.
  • "Subscription" means the recurring access plan agreed upon between Goamazing and the Client, specifying the scope, term, and fees for use of the Services.
  • "Agreement" means these Terms together with any applicable Order Form, Statement of Work, or separate written agreement between Goamazing and the Client.

3. Use of Services

3.1 Permitted Use

Subject to the terms of your Subscription, Goamazing grants the Client a limited, non-exclusive, non-transferable right to access and use the Services solely for internal educational or training purposes, in accordance with these Terms and any applicable documentation.

3.2 User Accounts

The Client is responsible for creating, managing, and deactivating User accounts. Each User must maintain the confidentiality of their login credentials. The Client is responsible for all activities conducted under its Users' accounts.

3.3 Prohibited Conduct

You agree not to:

  • Use the Services for any unlawful purpose or in violation of applicable laws or regulations.
  • Reproduce, distribute, modify, or create derivative works of the Services without prior written consent.
  • Attempt to reverse-engineer, decompile, or disassemble any part of the Services.
  • Upload or transmit content that is harmful, offensive, defamatory, or infringes third-party rights.
  • Interfere with or disrupt the integrity or performance of the Services or related infrastructure.
  • Resell, sublicense, or transfer access to the Services to any third party without our prior written approval.

3.4 Client Content

The Client retains ownership of all Content uploaded to the Services. By uploading Content, the Client grants Goamazing a limited, non-exclusive licence to host and process such Content solely as required to provide the Services. Goamazing does not claim ownership of Client Content.

4. Payments

4.1 Subscription Fees

Access to the Services is subject to the payment of fees as set out in the applicable Order Form or written agreement. All fees are quoted in the agreed currency and are exclusive of applicable taxes unless stated otherwise.

4.2 Billing and Payment Terms

Invoices are issued according to the billing cycle specified in the Agreement (monthly or annual). Payment is due within thirty (30) days of the invoice date unless otherwise agreed in writing. Goamazing reserves the right to suspend access to the Services in the event of non-payment after reasonable written notice.

4.3 Late Payments

Overdue amounts may be subject to a late payment interest charge at a rate specified in the Agreement or, where not specified, at the prevailing statutory rate. The Client shall bear all reasonable costs incurred by Goamazing in recovering overdue amounts.

4.4 Fee Adjustments

Goamazing reserves the right to revise subscription fees with a minimum of thirty (30) days' written notice prior to the next billing cycle. Continued use of the Services after the effective date of any fee change constitutes acceptance of the revised fees.

4.5 Refunds

Subscription fees are generally non-refundable unless otherwise specified in a separate written agreement or required by applicable law. Requests for refunds should be submitted in writing to contact@goamazing.org within fourteen (14) days of the relevant charge.

5. Protection of Your Personal Information

Goamazing is committed to protecting the privacy and security of personal information in accordance with applicable data protection laws, including the laws of the Socialist Republic of Vietnam and, where applicable, the General Data Protection Regulation (GDPR).

The collection, use, and storage of personal information by Goamazing is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you acknowledge and consent to the practices described in our Privacy Policy. Privacy Policy.

Key principles we adhere to include:

  • Personal data is collected only for specified, legitimate purposes and is not processed further in ways incompatible with those purposes.
  • Data is stored securely and retained only for as long as necessary to fulfil the purposes for which it was collected.
  • We implement appropriate technical and organisational measures to safeguard personal data against unauthorised access, loss, or disclosure.
  • Users have the right to access, correct, or request deletion of their personal data, subject to applicable legal obligations.

For data processing activities conducted on behalf of the Client, Goamazing acts as a data processor and the Client acts as the data controller. A Data Processing Agreement (DPA) may be executed upon request.

6. Termination

6.1 Termination by the Client

The Client may terminate the Agreement by providing written notice in accordance with the notice period specified in the applicable Order Form. Termination does not entitle the Client to a refund of fees already paid for the current subscription period, unless otherwise agreed in writing.

6.2 Termination by Goamazing

Goamazing may suspend or terminate the Client's access to the Services, with or without prior notice, in the event of:

  • Material breach of these Terms by the Client or any of its Users, which remains uncured for fourteen (14) days after written notice.
  • Non-payment of fees beyond the agreed payment terms.
  • Insolvency, liquidation, or cessation of business operations by the Client.
  • Any use of the Services that Goamazing reasonably determines poses a risk to other clients, Users, or the integrity of the platform.

6.3 Effect of Termination

Upon termination, all licences granted under these Terms will immediately cease. The Client may request an export of its Content within thirty (30) days of the termination date, after which Goamazing may permanently delete such Content. Provisions of these Terms that by their nature should survive termination shall do so, including payment obligations, confidentiality, and indemnity clauses.

7. Indemnity

The Client agrees to indemnify, defend, and hold harmless Goamazing and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with:

  • The Client's or its Users' use of the Services in violation of these Terms.
  • Any Content uploaded or transmitted by the Client or its Users that infringes the intellectual property rights or other rights of any third party.
  • Any breach by the Client of applicable laws or regulations.
  • Any negligent or wilful acts or omissions of the Client or its Users in connection with the Services.

Goamazing will notify the Client promptly of any claim subject to indemnification and will cooperate reasonably in the defence of such claim. The Client shall not settle any claim without Goamazing's prior written consent where such settlement imposes obligations or restrictions on Goamazing.

To the maximum extent permitted by applicable law, Goamazing's total liability to the Client for any claims arising under or in connection with these Terms shall not exceed the total fees paid by the Client in the three (3) months immediately preceding the event giving rise to the claim.
